SUNNY SIDE CATS TERMS OF SERVICE

1. OVERVIEW AND ACCEPTANCE

This website is operated by Sunny Side Cats ("Sunny Side Cats," "we," "us," or "our"). Our website, sunnysidecats.com (the "Site"), and the products, content, features, tools, and services made available through the Site are collectively referred to as the "Services." The Site is hosted by Shopify, which provides the e-commerce platform that allows us to offer and sell products to you.

These Terms of Service ("Terms") govern your access to and use of the Services and any purchase you make from us. By visiting the Site, creating an account, submitting an order, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

These Terms incorporate our Privacy Policy, Shipping Policy, Return & Refund Policy, and any product-specific instructions, warnings, or terms displayed on the Site or included with a product. If a product-specific term conflicts with these Terms, the product-specific term controls only for that product and subject. If our Return & Refund Policy conflicts with these Terms, the Return & Refund Policy controls for returns and refunds. Applicable laws that cannot legally be waived will always control.

2. ELIGIBILITY

You must be at least 18 years old or the age of legal majority where you live to place an order or create an account. If you are under the age of legal majority, you may use the Services only with the involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf.

The Services are intended for lawful personal and household use. You may not purchase products for unauthorized resale, export, or other commercial distribution without our written permission.

3. ACCOUNTS AND CUSTOMER INFORMATION

You agree to provide current, complete, and accurate information when creating an account, placing an order, or contacting us. You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account. Notify us promptly at support@sunnysidecats.com if you believe your account has been accessed without authorization.

We are not responsible for delays, failed deliveries, or other problems caused by inaccurate or incomplete information supplied by you, except to the extent responsibility cannot be excluded under applicable law. Contact us as soon as possible if you need to correct an order or shipping address. We cannot guarantee that a change can be made after an order enters processing or ships.

4. PRODUCT INFORMATION AND AVAILABILITY

We try to describe and display our products accurately. However, colors and appearance may vary depending on your screen, lighting, photography, manufacturing tolerances, or later nonmaterial packaging updates. Product dimensions and weights may be approximate unless expressly stated otherwise.

Products, prices, promotions, and availability may change without notice before an order is accepted. We may limit quantities, discontinue products, restrict sales by person or region, or decline an order when reasonably necessary for inventory, safety, legal, fraud-prevention, or operational reasons. These restrictions will not be applied unlawfully.

Statements such as "cat approved" or references to Sunny and Shadow reflect our brand experience and product-selection approach. They do not mean that every product will be appropriate for every cat. Each animal has different needs, behaviors, sensitivities, and preferences.

5. PET SAFETY AND PROPER USE

You are responsible for selecting products appropriate for your cat and using them only as described on the product page, packaging, and included instructions. Supervise your cat when introducing or using a new product. Inspect products before each use and stop using any product that becomes damaged, cracked, torn, excessively worn, loose, or unsafe.

Plastic bags, liners, packaging, ties, small parts, and similar materials may create choking, ingestion, entanglement, or suffocation hazards. They are not toys. Keep them away from cats, children, and other animals except to the limited extent needed for their intended use under responsible adult supervision. Do not allow a cat to chew, lick, swallow, or play with bags, liners, litter, waste, packaging, or product components not specifically designed for that purpose.

Follow all cleaning, care, assembly, weight, size, replacement, and disposal instructions. Do not modify a product or use it for an unintended purpose. If your cat has a medical condition, mobility limitation, behavioral concern, allergy, or unusual sensitivity, consult a licensed veterinarian before use.

Information on the Site is provided for general product and educational purposes only. It is not veterinary, medical, health, or professional advice and is not a substitute for diagnosis or treatment by a licensed veterinarian. In an emergency, contact a veterinarian or animal poison-control service immediately.

Product performance can vary based on use, litter type, environment, maintenance, waste-disposal habits, and individual animals. Unless a product page expressly provides a written guarantee, we do not guarantee complete odor elimination, mess elimination, or a particular behavioral or health outcome.

6. ORDERS AND ORDER ACCEPTANCE

Your submission of an order is an offer to purchase. An automated order-confirmation email acknowledges that we received your order but does not necessarily mean that we accepted it. Unless applicable law requires otherwise, an order is accepted when we ship the product, confirm fulfillment, or otherwise expressly accept the order.

We may verify order information and may refuse or cancel an order before fulfillment for legitimate reasons, including lack of inventory, suspected fraud, unauthorized payment, a material pricing or description error, an undeliverable address, violation of these Terms, or a legal or safety restriction. If we cancel an order after payment has been collected, we will refund the canceled amount to the original payment method, as required by law.

We may limit or cancel quantities that appear to be placed by dealers, resellers, distributors, automated systems, or multiple accounts acting together without our authorization.

7. PRICES, TAXES, AND PAYMENT

Unless stated otherwise, prices are displayed in U.S. dollars. Prices do not include shipping charges, duties, or taxes unless checkout expressly says they are included. You are responsible for charges displayed and accepted at checkout and for any legally applicable taxes or duties not collected by us.

You represent that you are authorized to use the payment method submitted. Payment processing may be performed by Shopify or another third-party payment provider and may be subject to that provider's terms. We do not directly store complete payment-card information where payment is handled by a payment processor.

If a price, discount, product detail, or checkout total is materially incorrect, we may contact you before fulfillment to offer the corrected transaction or cancel and refund the affected order. We will not charge a higher corrected price without your authorization.

8. SHIPPING, DELIVERY, AND RISK OF LOSS

Shipping options, costs, and estimated timeframes are shown at checkout or in our Shipping Policy. Processing and delivery estimates are not guarantees unless we expressly identify a date as guaranteed. We will maintain a reasonable basis for any shipping representation we make.

If we cannot ship within the promised timeframe, or within the period required by applicable law when no timeframe was provided, we will provide any legally required delay notice and offer any legally required choice between consenting to the delay and canceling for a refund. If an order cannot be shipped, we will issue the refund required by law rather than limiting the customer to store credit.

Delivery may be affected by carriers, weather, natural events, service interruptions, labor disputes, customs, incorrect addresses, or other events outside our reasonable control. These events do not eliminate rights that applicable law gives you.

Title and risk of loss pass to you when the order is delivered to the shipping address provided at checkout, except where applicable law provides otherwise. If tracking shows a delivery but you cannot locate the package, or if a package arrives damaged, contact us promptly at support@sunnysidecats.com so we can investigate and determine the appropriate resolution under our policies and applicable law.

Orders may arrive in separate shipments. When international shipping is offered, the recipient is responsible for import duties, customs charges, and local taxes unless checkout expressly states otherwise. Customs delays are outside our direct control.

9. RETURNS, REFUNDS, EXCHANGES, AND CANCELLATIONS

Our Return & Refund Policy is incorporated into these Terms and is available at https://sunnysidecats.com/policies/refund-policy. Eligible returns may be requested within the timeframe stated in that policy. You must contact support@sunnysidecats.com and receive return instructions before sending a product back.

Unless the return results from our error, a defective product, an incorrect product, shipping damage, or another circumstance for which we are responsible under our policy or applicable law, the customer is responsible for return-shipping costs. Products must satisfy the eligibility requirements in our Return & Refund Policy. Original shipping charges are nonrefundable unless our policy or applicable law provides otherwise.

Approved refunds are issued to the original payment method. The time required for the refund to appear can depend on the bank or payment provider. Nothing in these Terms limits any refund, cancellation, cooling-off, warranty, or other consumer right that cannot legally be waived.

You may request cancellation before fulfillment, but cancellation is not guaranteed after an order enters processing. If cancellation is no longer possible, the Return & Refund Policy will apply after delivery.

10. PROMOTIONS, DISCOUNTS, AND GIFT CARDS

Promotions, discount codes, bundles, and limited-time offers may have additional terms. Unless stated otherwise, promotions cannot be combined, applied retroactively, redeemed for cash, or used after expiration. We may correct, suspend, or cancel a promotion affected by fraud, technical error, or misuse, subject to applicable law.

Gift cards, if offered, are subject to the terms shown at purchase and applicable laws concerning expiration, fees, redemption, and refunds.

11. SUBSCRIPTIONS AND RECURRING PURCHASES

Sunny Side Cats does not currently offer recurring subscriptions under these Terms. If we later offer a subscription or other recurring purchase, the price, billing frequency, renewal terms, cancellation method, and any additional subscription terms will be clearly presented before enrollment. We will not impose a recurring charge without the authorization required by applicable law. You should review the applicable subscription terms before enrolling because they may supplement these Terms.

12. ELECTRONIC COMMUNICATIONS

When you place an order, create an account, or contact us, you consent to receive electronic communications necessary to complete the transaction or provide customer service, such as order, payment, security, shipping, return, recall, and account notices.

Marketing emails or text messages are sent only as permitted by law and based on the applicable consent or other lawful basis. You can unsubscribe from marketing communications using the method provided in the message. Opting out of marketing does not prevent us from sending nonmarketing communications about an order, account, safety issue, or legal obligation.

13. REVIEWS, PHOTOS, AND OTHER USER CONTENT

If you submit a review, photo, video, comment, idea, suggestion, or other content (collectively, "User Content"), you represent that:

(a) the User Content is based on a genuine experience where represented as a review;
(b) you own the User Content or have permission to submit it;
(c) it is accurate to the best of your knowledge and is not misleading;
(d) it does not violate another person's privacy, publicity, copyright, trademark, or other rights;
(e) it does not contain unlawful, threatening, abusive, discriminatory, obscene, malicious, or harmful material; and
(f) you will clearly disclose any material connection, incentive, free product, employment, family relationship, or other relationship that could affect how readers evaluate the content.

Any incentive we may offer for a review will not be conditioned on the review being positive or expressing a particular sentiment. You may not submit fake reviews, reviews for products you did not experience, reviews written by a nonexistent person, or reviews intended to manipulate ratings.

You retain ownership of your User Content. By submitting it, you grant Sunny Side Cats a nonexclusive, worldwide, royalty-free, transferable, and sublicensable license to host, reproduce, format, adapt, publish, display, distribute, and use the User Content in connection with operating, improving, and marketing Sunny Side Cats and the Services, subject to applicable privacy and consumer-protection laws. You represent that granting this license does not violate anyone else's rights.

We may moderate or remove User Content that violates these Terms or applicable law, but we are not obligated to review every submission. We will not remove or suppress a review merely because it is negative. User Content reflects the views of the person submitting it and not necessarily Sunny Side Cats.

14. INTELLECTUAL PROPERTY

The Site and its content, including our name, logos, graphics, photographs, videos, text, page design, and original branding, are owned by or licensed to Sunny Side Cats and are protected by applicable intellectual-property laws. These Terms give you a limited, revocable, nonexclusive, nontransferable right to access and use the Site for personal, lawful shopping purposes.

You may not copy, reproduce, modify, republish, distribute, sell, license, scrape, frame, publicly display, create derivative works from, or commercially exploit Site content without our written permission, except where applicable law expressly allows it.

If you believe content on the Site infringes your rights, contact support@sunnysidecats.com with identification of the protected work, the allegedly infringing material, your contact information, and a good-faith explanation of the claim.

15. PROHIBITED USES

You may not use the Services to:

(a) violate any law, regulation, court order, or third-party right;
(b) commit fraud, submit false information, make unauthorized purchases, or evade payment obligations;
(c) infringe intellectual-property, privacy, publicity, or other rights;
(d) harass, threaten, abuse, discriminate against, defame, or harm another person or animal;
(e) upload malware or code intended to disrupt, damage, monitor, or gain unauthorized access to systems or data;
(f) interfere with the security, availability, or proper operation of the Site;
(g) impersonate another person or misrepresent your identity or affiliation;
(h) collect or scrape personal information or Site content through unauthorized automated means;
(i) bypass access controls, purchase limits, or security measures; or
(j) use the Services for an unsafe, unlawful, or unintended purpose.

We may suspend or terminate access reasonably believed to involve prohibited conduct, while respecting rights that cannot be limited by these Terms.

16. AUTOMATED AGENTS

This section applies if you use, allow, enable, or cause an automated or semi-automated software system or service to access, use, or interact with the Services on your behalf (an "Agent").

No Agent may access, use, or interact with the Services unless it clearly identifies itself and operates in compliance with these Terms, our technical instructions, and applicable law. We may limit or block whether and how an Agent accesses, uses, or interacts with the Services, including through technical measures.

An Agent must: (a) identify automated requests and disclose the Agent's name in its user-agent string using the format "Agent/[agent name]"; (b) not conceal or misrepresent that an interaction is automated, including by falsely mimicking human behavior; (c) not complete, bypass, or circumvent CAPTCHAs or other measures intended to distinguish automated activity from human activity; (d) answer truthfully when asked whether an interaction is from a human or a computer; and (e) not circumvent any measure intended to block, limit, modify, or control automated access.

Compliance with this section does not itself grant an Agent permission to access the Services. All Agent activity remains subject to the other provisions of these Terms and any additional authorization or restriction we provide.

17. THIRD-PARTY SERVICES AND LINKS

The Services may contain links to, integrations with, or tools provided by third parties, including Shopify, payment processors, carriers, social networks, analytics providers, and other service providers. We do not control independent third-party websites or services and are not responsible for their content, availability, security, or practices. Your use of a third-party service may be governed by that party's own terms and privacy policy.

If you leave the Services to access a third-party website or purchase a third-party product or service, you do so at your own discretion. Complaints, claims, concerns, or questions about an independent third-party product or service should be directed to that third party.

Sunny Side Cats is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make through our store are made directly with Sunny Side Cats. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sale between you and Sunny Side Cats, including any injury, damage, or loss resulting from products or services purchased from Sunny Side Cats. To the fullest extent permitted by law, you expressly release Shopify and its affiliates from claims, damages, and liabilities arising from or related to purchases and transactions with Sunny Side Cats. This release does not affect rights that cannot legally be waived.

18. PRIVACY

Our collection, use, and disclosure of personal information are described in our Privacy Policy, available at https://sunnysidecats.com/policies/privacy-policy. By using the Services, you acknowledge that you have reviewed that policy. The Privacy Policy does not reduce any privacy right provided by applicable law.

Certain personal information may also be subject to Shopify's Consumer Privacy Policy, available at https://www.shopify.com/legal/privacy/app-users. Because the Services are hosted by Shopify, Shopify collects and processes personal information about access to and use of the Services in order to provide and improve its platform and related services. Information submitted through the Services may be transmitted to and shared with Shopify and other service providers, including providers located outside the country where you reside, as described in our Privacy Policy and applicable third-party privacy notices.

19. PRODUCT RECALLS AND SAFETY NOTICES

If we learn of a potential safety issue, defect, or recall, we may contact affected customers, post a notice, suspend sales, provide instructions, replace a product, or issue a refund or other legally appropriate remedy. You agree to follow legitimate product-safety and recall instructions promptly. Nothing in this section limits any remedy available under applicable law.

20. DISCLAIMER OF WARRANTIES

Nothing in these Terms excludes an express written warranty that we specifically provide for a product or any warranty or consumer right that cannot legally be excluded.

TO THE FULLEST EXTENT PERMITTED BY LAW, AND EXCEPT FOR EXPRESS WRITTEN WARRANTIES OR PRODUCT DESCRIPTIONS THAT APPLY TO A PURCHASE, THE SITE, SERVICES, AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." SUNNY SIDE CATS DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE EXTENT THOSE WARRANTIES MAY LAWFULLY BE DISCLAIMED.

We do not warrant that the Site will always be uninterrupted, secure, or error-free, that every defect will be corrected immediately, or that a product will produce a particular result for every cat, home, litter type, or situation. The Return & Refund Policy is not an additional product warranty unless it expressly says otherwise.

Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, this section applies only to the maximum extent allowed by law and does not affect non-waivable rights.

21. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, SUNNY SIDE CATS, SHOPIFY, AND THEIR RESPECTIVE OWNERS, PARTNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF GOODWILL, ARISING FROM OR RELATING TO THE SERVICES, PRODUCTS, OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR A CLAIM RELATING TO A PRODUCT OR ORDER WILL NOT EXCEED THE AMOUNT YOU PAID TO SUNNY SIDE CATS FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM.

These limitations do not exclude or limit liability that cannot legally be excluded or limited, including liability for fraud, willful misconduct, gross negligence, or personal injury where such a limitation is prohibited. Some jurisdictions do not allow particular damage exclusions or liability limits, so some of this section may not apply to you.

22. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify, defend, and hold harmless Sunny Side Cats, Shopify, and their respective owners, partners, officers, directors, employees, contractors, affiliates, agents, service providers, and licensors from third-party claims, damages, losses, liabilities, and reasonable costs, including reasonable attorneys' fees, arising from your unlawful use or intentional misuse of the Services or products, your material violation of these Terms, or your infringement of another person's rights.

We will provide reasonable notice of an indemnifiable claim. A failure to provide prompt notice will relieve you of an obligation under this section only to the extent the delay materially prejudices your defense. Sunny Side Cats may control the defense and settlement of a claim covered by this section, including the choice of counsel, but will not settle a claim in a manner that imposes a nonmonetary obligation on you without your consent, which will not be unreasonably withheld. You agree to provide reasonable cooperation in the defense.

This section does not require a consumer to indemnify Sunny Side Cats, Shopify, or any other person for that party's own negligence, unlawful conduct, or other responsibility that cannot legally be shifted.

23. FORCE MAJEURE

We are not responsible for a delay or failure caused by events beyond our reasonable control, such as severe weather, natural disaster, fire, epidemic, war, terrorism, civil disorder, labor disruption, transportation interruption, carrier failure, governmental action, utility outage, cyberattack, or supplier disruption. We will take commercially reasonable steps to reduce the impact and will provide cancellations, notices, or refunds required by applicable law.

24. SUSPENSION AND TERMINATION

We may suspend or terminate your access to the Services if you materially violate these Terms, create a security or fraud risk, misuse the Services, or if suspension is reasonably necessary to comply with law. Provisions that by their nature should survive termination, including payment obligations, intellectual-property rights, disclaimers, limitations of liability, indemnification, and dispute provisions, will survive.

Termination of Site access does not eliminate rights or obligations connected to an order already accepted, including applicable delivery, refund, warranty, chargeback, or consumer-protection rights.

25. GOVERNING LAW AND INFORMAL DISPUTE RESOLUTION

These Terms and any dispute arising from them or the Services are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except that mandatory consumer-protection laws in your place of residence will continue to apply when they cannot legally be waived.

Before filing a legal claim, you and Sunny Side Cats agree to make a good-faith effort to resolve the dispute informally. You may begin the process by emailing support@sunnysidecats.com with your name, order number if applicable, a description of the issue, and the resolution requested. We will attempt to respond within 30 days. This informal process does not prevent either party from seeking urgent injunctive relief, pursuing an eligible claim in small-claims court, meeting a legal filing deadline, or exercising a right that cannot be waived.

26. SEVERABILITY, WAIVER, AND ASSIGNMENT

If any provision of these Terms is held unlawful, void, or unenforceable, that provision will be enforced to the maximum lawful extent or severed, and the remaining provisions will remain effective.

Our failure to enforce a provision is not a waiver of that provision or any other provision. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or transfer of the business, subject to applicable law. You may not assign your rights or obligations under these Terms without our written consent, except where applicable law permits otherwise.

27. ENTIRE AGREEMENT

These Terms, together with the policies and product-specific terms incorporated into them, are the entire agreement between you and Sunny Side Cats regarding the Services and replace prior discussions or agreements on the same subject. A failure by us to exercise a right does not waive it.

Headings are provided for convenience and do not change the meaning of these Terms. The word "including" means "including without limitation."

28. CHANGES TO THESE TERMS

We may update these Terms to reflect changes to the Services, products, business practices, or law. We will post the updated version on the Site and revise the effective date. When required by law, we will provide additional notice or obtain consent.

Changes will apply prospectively from their effective date and will not retroactively change the material terms governing an order already accepted unless required by law or agreed by the parties. Your continued use of the Services after updated Terms take effect constitutes acceptance to the extent permitted by law.
